Terms of Service

These Terms of Service (“Terms”) are a binding agreement between you and Nimbus Peak Solutions(“we,” “us,” or “our”) governing your use of the I Was There! mobile app and the iwasthereconcerts.appwebsite (together, the “Service”). By downloading, accessing, or using the Service, you agree to these Terms. If you don’t agree, please don’t use the Service.

The Service

I Was There! lets you create personalized, novelty concert ticket stubs as keepsakes of shows you’ve attended, and to share images of them. The Service is provided for personal, non-commercial entertainment use.

Novelty keepsakes — not real tickets

Ticket stubs you create with I Was There! are commemorative keepsakes only. They are not valid for entry to any event, are not proof of purchase or attendance, and have no monetary value. You agree not to use, sell, or present them as genuine tickets or to gain entry, claim a refund, or otherwise deceive anyone. You are solely responsible for the content you put on a stub.

Eligibility

You must be at least 13 years old (or the minimum age of digital consent in your jurisdiction) to use the Service. If you are under the age of majority where you live, you may use the Service only with the involvement of a parent or guardian.

License

Subject to these Terms, we grant you a personal, limited, non-exclusive, non-transferable, revocable license to use the Service. You agree not to:

• copy, modify, distribute, sell, or lease any part of the Service;
• reverse-engineer or attempt to extract the source code, except where permitted by law;
• use the Service to infringe others’ rights or violate any law;
• interfere with, disrupt, or attempt to gain unauthorized access to the Service or its systems; or
• use automated means to access the Service in a way that burdens our infrastructure.

Your content

You retain ownership of the photos and details you add to your stubs (“Your Content”). Your Content is stored on your device. You represent that you have the rights to any image or material you use and that it doesn’t infringe anyone else’s rights or violate any law. You grant us only the limited permission necessary to operate the Service on your device (for example, to render and export your stub).

Concert search results

The in-app concert search uses an AI provider to suggest matching shows. Results are provided for convenience, may be incomplete or inaccurate, and should not be relied upon as authoritative. You are responsible for verifying any details before relying on them.

Purchases and subscriptions

The Service may offer one-time purchases and auto-renewing subscriptions that unlock features. All payments are processed by the Apple App Store or Google Play, and are subject to their terms.

• Auto-renewal. Subscriptions renew automatically for the same period and price unless you cancel at least 24 hours before the end of the current period.
• Managing and canceling. You manage and cancel subscriptions in your Apple App Store or Google Play account settings, not within the app.
• Refunds. Purchases are handled by the app stores, and refunds are subject to their policies. Except where required by law, payments are non-refundable.
• Price changes.We may change prices or features going forward; changes won’t affect a billing period you’ve already paid for.

Intellectual property

The Service, including its software, design, templates, ticket styles, logos, and the I Was There! name, is owned by Nimbus Peak Solutionsand protected by intellectual-property laws. Except for the license above, these Terms don’t grant you any rights in our intellectual property. Third-party names and marks (such as artists or venues) belong to their owners and are used only to describe shows.

Disclaimers

The Service is provided “as is” and “as available”without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We don’t warrant that the Service will be uninterrupted, error-free, or that any information (including search results) is accurate.

Limitation of liability

To the maximum extent permitted by law, Nimbus Peak Solutions will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of data, profits, or goodwill, arising from or related to your use of the Service. To the maximum extent permitted by law, our total liability for any claim relating to the Service will not exceed the greater of the amount you paid us for the Service in the 12 months before the claim or USD $25.

Indemnification

You agree to indemnify and hold Nimbus Peak Solutions harmless from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of your Content, your use of the Service, or your violation of these Terms or applicable law.

Termination

You may stop using the Service at any time by uninstalling the app. We may suspend or terminate your access if you violate these Terms or if we discontinue the Service. Provisions that by their nature should survive termination (such as ownership, disclaimers, and limitation of liability) will survive.

Governing law

These Terms are governed by the laws of the State of Colorado, United States, without regard to its conflict-of-laws rules. You agree that the state and federal courts located in Colorado will have exclusive jurisdiction over any dispute that is not subject to other dispute-resolution terms, to the extent permitted by law.

Changes to these Terms

We may update these Terms from time to time. When we do, we will revise the “Last updated” date above. Your continued use of the Service after changes take effect means you accept the updated Terms.

Apple and Google

If you obtained the app through the Apple App Store or Google Play, you acknowledge that these Terms are between you and Nimbus Peak Solutions, not with Apple or Google, and that those platforms are not responsible for the app or its support. The relevant platform’s terms also apply to your use.
